Version 1.0, in effect from not yet set (draft)
Client service agreement
This agreement sets the terms on which Fit With Riley designs and builds a custom website, AI agent or both for a client, once a request has been accepted.
How it works
Every build starts with a written proposal: what we will make, the price, the deposit, the payment stages and the expected timeline. When you accept the proposal in writing (a signature or a reply by email saying you accept), the proposal and this agreement together are the contract between you and Fit With Riley. If the two ever disagree, the proposal wins for that build.
The scope
We build what the proposal describes. A change or an addition you ask for after that is welcome: we tell you in writing what it adds to the price and the timeline, and we do it once you agree. Hosting, upkeep and marketing after launch are separate unless the proposal includes them.
Deposit and payment
- The work starts when the deposit set in the proposal is paid. It reserves our time for your build.
- The rest is paid in the stages the proposal sets, each against an invoice.
- Invoices are due by the date written on them. We may pause the work while an invoice is overdue, and the timeline moves by the same time.
- Prices are in the currency the proposal names, and taxes are added where the law requires.
Timeline
The proposal gives an expected timeline. It depends on both of us: on our work, and on you sending the content, access and answers we ask for, and giving your approvals, when the plan says. If something on your side is late, the timeline moves with it; if something on our side is late, we tell you as soon as we know, with a new date.
Approvals
We show you the concept first and build only after you approve it. At each stage the proposal names, we ask for your approval in writing, and an email counts. Something you approved is not reworked for free later; if you want it changed, that is a change under "The scope".
What you provide
You give us the words, pictures, logos, facts and access we need, and you confirm that you own them or have the right to let us use them for your build. You are responsible for the claims your business makes about itself; we will tell you if we think one of them is a risk.
Who owns what
- Yours. When everything owed for the build is paid, you own the finished work made for you: the design of your site, the words we wrote for it, and the content you gave us. Until then we license it to you to review.
- Ours. We keep our own building blocks, methods, know-how and anything we made before or outside your build. You receive a permanent licence to use them as part of your finished work, for as long as you use it. You may not sell them or reuse them apart from it.
- Others'. Typefaces, photographs or other material made by other people are used under their owners' licences, which we tell you about. You keep to those licences.
- Our portfolio. We may show the finished work and name you as a client, unless you ask us in writing not to.
Confidentiality
We each keep what the other shares about its business private, use it only for the build, and keep it private after the work ends. This does not cover what is already public, or what the law requires one of us to disclose.
Personal information
If the work means we handle information about your customers, we use it only to do the work, keep it secure, and never use it for ourselves. How we handle your own information is in our privacy policy.
Liability
We do the work with care and skill. As far as the law allows, neither of us is liable to the other for indirect or consequential loss, such as lost profit, and our total liability to you for a build is limited to the fees you have paid us for that build.
Ending the agreement
Either of us may end the agreement by telling the other in writing. You then pay for the work done up to that day, the deposit included, and we hand over what is finished and paid for. Either of us may end it at once if the other seriously breaks it and does not put it right within 14 days of being told.
Law
This agreement is governed by the laws of the place where Fit With Riley is registered, and the courts there decide any dispute about it. Before going to court, we each agree to try to settle a disagreement by talking first.
